Manager / Senior Manager Non-Litigation (IPO & Corporate Legal)

We are seeking an experienced legal professional to lead and manage non-litigation legal matters with a strong focus on corporate governance, regulatory compliance, and strategic legal advisory. The role will work closely with senior leadership, external counsels, investment bankers, auditors, and regulatory authorities to support the company's growth and public market aspirations.

Key Responsibilities:

• Assisting in legal matters relating to listed companies and listed debt securities (NCDs). •Reviewing transaction documents, offer documents, trustee documents, security documents, and other legal documentation relating to capital market transactions.
• Handling Legal Due Diligence (LDD) for investments, acquisitions, strategic partnerships, debt raises, and fundraising transactions.
• Reviewing corporate records, contracts, licenses, and regulatory filings. •Advise business teams on legal, regulatory, and compliance matters.
• Draft, review, and negotiate commercial agreements, vendor contracts, strategic partnerships, and technology agreements.
• Monitor changes in laws and regulations and assess their impact on the business.
• Manage legal due diligence for strategic transactions, investments, partnerships, and fundraising activities.
• Identify legal risks and implement appropriate mitigation measures.
• Support audits, regulatory inspections, and compliance reviews.
• Handle interactions with regulators, external counsels, and other stakeholders as required.

Candidate Profile:

• LL.B. / LL.M. from a recognized university.
• 58 years of experience in corporate legal and non-litigation roles.
• Prior experience working with a listed company or advising listed entities is mandatory.
• Strong knowledge of SEBI (LODR) Regulations, Companies Act, corporate governance, and regulatory compliance.
• Experience in Fintech, NBFC or Stock broking preferred.
• Exposure to capital market transactions, fundraising, QIPs, rights issues, or other strategic corporate actions will be an added advantage. •Strong drafting, negotiation, stakeholder management, and problem-solving skills.

Preferred Background:

• Listed NBFCs and Fintechs

• Experience handling Board governance, stock exchange compliance, regulatory disclosures, and complex commercial contracts.
