Legal Manager

Job Description

Job Purpose

To lead and manage legal matters pertaining to criminal proceedings, stock exchange arbitrations, regulatory investigations, and litigation involving the organization. The role is responsible for developing legal strategies, mitigating legal risks, ensuring regulatory compliance, managing external counsel, and representing the organization's interests before judicial, quasi-judicial, regulatory, and law enforcement authorities.

Key Responsibilities

1. Arbitration & Dispute Resolution

• Lead and oversee arbitration matters before stock exchanges, depositories, regulatory forums, and other dispute resolution bodies.
• Formulate legal strategies and provide guidance on complex arbitration cases, appeals, and recovery matters.
• Review and approve pleadings, submissions, statements of claim, replies, rejoinders, and other legal documents.
• Coordinate with external counsels and senior advocates for effective representation before arbitration panels and appellate forums.
• Monitor critical timelines, procedural compliances, and case progress to ensure effective dispute resolution.
• Advise business stakeholders on legal exposure, potential risks, and settlement opportunities.

2. Criminal Litigation & Regulatory Investigations

• Lead interactions with law enforcement agencies including EOW, Cyber Cell, CBI, Police Authorities, and other investigative bodies.
• Develop legal strategies for handling fraud, cybercrime, investor grievances, financial crimes, and criminal complaints impacting the organization.
• Oversee filing and prosecution of criminal complaints to safeguard the interests of MOFSL.
• Provide legal guidance to internal stakeholders during investigations, inquiries, and enforcement actions.
• Ensure timely submission of information, documentation, and responses to regulatory and investigative authorities.
• Manage external counsels handling criminal proceedings across jurisdictions.

3. Legal Advisory & Contract Management

• Provide legal advice and support to business and functional teams on operational, commercial, and regulatory matters.
• Review, vet, negotiate, and approve commercial contracts, vendor agreements, service agreements, and other legal documents.
• Identify legal and regulatory risks arising from business operations and recommend appropriate mitigation measures.
• Ensure adherence to applicable laws, SEBI regulations, stock exchange regulations, and internal governance frameworks.

4. Stakeholder Management & Governance

• Act as a key legal partner to business leadership and senior management.
• Prepare legal updates, risk assessments, and management reports for leadership review.
• Engage with regulators, exchanges, depositories, and industry bodies on legal and compliance matters.
• Drive legal process improvements and strengthen governance mechanisms across the organization.
• Support audits, inspections, and regulatory reviews from a legal perspective.

5. Team Leadership & Process Excellence

• Mentor and guide legal team members in handling litigation, arbitration, and advisory matters.
• Establish effective tracking mechanisms and MIS for all legal matters.
• Drive operational efficiency, knowledge management, and standardization of legal processes.
• Ensure timely closure of matters while maintaining high standards of legal risk management and compliance.
