Job Summary (Legal Director)

The purpose of this role is to help deliver, manage and support legal work in within

Dentsu at a mid to senior level of ability, management interaction and responsibility.

Description

Key responsibilities:

1.Provides legal and strategic advice to stakeholders at various

levels of the organisation (including executive-level boards and committees) on relevant subjects to ensure compliance with legal and regulatory requirements and protection of Dentsus commercial interests

2.Drafts, negotiates and advises on complex commercial

agreements

Provides legal support (templates, advice, risk management, subject matter knowledge) to accelerate and underpin the expansion of company strategy

3.Provides legal support on various matters to commercial teams in contractual negotiations to achieve the most advantageous and/or beneficial legal and commercial terms for Dentsu Develops and delivers training and legal risk management initiatives to senior management to strategically manage legal risks (e.g. business training, legal

updates, etc.)

4, Implements best-practices in compliance, contracts management,

intellectual property, data privacy, IT, litigation and/or M&A (as appropriate, having regard to the Senior Legal Counsels specialist area) Delivers cost-effective handling of existing litigation and disputes to Dentsus best interests, including timely and accurate reporting Responsibility for managing and developing junior lawyers

5 Manages and coordinates litigation, regulatory proceedings, investigations and disputes across multiple judicial and quasi-judicial forums, ensuring timely strategy alignment, reporting and risk mitigation.

6Liaises with and manages external law firms, senior

counsels, forensic consultants and other advisors, including overseeing matter strategy,

7.budgeting, briefing, documentation and performance management

. 8 Tracks and monitors ongoing litigation, complaints, notices, investigations and enforcement

actions across courts, tribunals, regulatory bodies and law enforcement agencies,

while ensuring accurate and timely updates to internal stakeholders and senior

management.

9. Represents and supports the organisation in interactions with

governmental, regulatory and enforcement authorities, including but not limited to the

Enforcement Directorate (ED), Economic Offences Wing (EOW), cybercrime cells,

police authorities and other statutory bodies, as required.

10. Coordinates responses to

regulatory inquiries, summons, notices, investigations and information requests,

including management of internal fact-finding, document collection and stakeholder

coordination exercises.

11. Works closely with internal business, compliance, finance,

HR, risk and leadership teams in managing sensitive disputes, investigations and crisisresponse matters.

12. Advises management on litigation exposure, enforcement risks,

dispute resolution strategy and reputational considerations, including recommending

practical and commercially appropriate courses of action.

13. Maintains centralised

litigation and investigation trackers, reporting dashboards and case management

records to ensure appropriate governance, visibility and escalation of material matters.

14.Supports development and implementation of investigation response protocols, dawn

raid preparedness measures, evidence preservation processes and regulatory

engagement frameworks.

15. Ability to independently engage with local authorities, review

vernacular documents and support proceedings in regional forums would be an

advantage. Candidates should be conversant in Marathi and possess the ability to read,

write and communicate effectively in MarathiRole & responsibilities
