Job Description
Role & responsibilities
1. Corporate Governance & Board Management
- Assist in planning, convening, and conducting Board, Committee, and Shareholder meetings (AGM/EGM).
- Prepare and review agenda notes, board papers, minutes, and action trackers.
- Ensure compliance with Secretarial Standards (SS-1 & SS-2).
- Support implementation of best-in-class corporate governance practices as per SEBI LODR.
2. SEBI & Stock Exchange Compliance (Pre- & Post-Listing)
- Support compliance with SEBI (LODR) Regulations, 2015, including:
- Quarterly, half-yearly, and annual disclosures
- Shareholding pattern, corporate governance reports
- Outcome of Board/Committee meetings
- Liaise with stock exchanges (BSE/NSE) for filings, clarifications, and approvals.
- Assist in maintaining compliance calendars and monitoring timelines.
3. Companies Act & MCA Compliance
- Ensure compliance with the Companies Act, 2013, including:
- ROC filings (AOC-4, MGT-7, DIR-12, PAS-3, etc.)
- Maintenance of statutory registers and records
- Support drafting and vetting of resolutions, notices, and statutory documents.
- Coordinate with auditors, legal advisors, and consultants on statutory matters.
4. Shareholder & Investor Services
- Handle shareholder queries, investor grievances, and coordination with the RTA.
- Support dividend-related compliances, IEPF filings, and share transfer/transmission matters.
- Assist in investor communication and disclosures in coordination with Investor Relations.
5. IPO / Listing-Related Support
- Assist in IPO readiness and post-listing transition, including:
- Coordination with merchant bankers, legal counsel, and registrars
- Support in drafting corporate governance sections of offer documents
- Ensure post-listing compliance stabilization and internal process setup.
6. Regulatory Monitoring & Advisory
- Track changes in corporate, securities, and listing regulations.
- Provide internal guidance to management and business teams on compliance matters.
- Support internal audits, secretarial audits, and regulatory inspections.
7. Documentation & Compliance Systems
- Maintain and update compliance trackers, SOPs, and internal controls.
- Support digitization and automation of compliance processes.
- Ensure proper archival of statutory and regulatory records.
Preferred candidate profile
- Strong knowledge of Companies Act, 2013 and SEBI LODR Regulations
- Experience with BSE/NSE filings and MCA portal
- Excellent drafting and documentation skills
- High attention to detail and strong compliance orientation
- Ability to work under tight regulatory deadlines
- Strong coordination and stakeholder management skills
